1. Acceptance of these Terms
By creating an account, accessing, or using Zorvenaq, you agree to these Terms and our Privacy Policy. If you use Zorvenaq on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and eligibility
You must provide accurate information, maintain the security of your credentials, and promptly update material account information. You are responsible for activity performed through your account unless prohibited by law. Zorvenaq may require identity, business, professional, or security verification before enabling certain features.
3. Clients and software experts
Clients may create projects, review candidates, schedule interviews, enter contracts, fund milestones, collaborate, and submit reviews. Experts may create professional profiles, apply or be matched to opportunities, participate in verification and interviews, enter contracts, perform work, and receive eligible payouts. Each user is responsible for the truthfulness of information and commitments they provide.
4. Zorvenaq's platform role
Zorvenaq provides technology and operational workflows that help users discover, evaluate, hire, contract, communicate, collaborate, and manage payments. Unless expressly stated in a separate written agreement, Zorvenaq is not the employer, employee, agent, partner, or joint venturer of a client or expert and does not guarantee that any user will enter into or successfully complete a transaction.
5. Acceptable use
You may not use Zorvenaq to:
- engage in fraud, impersonation, harassment, unlawful discrimination, abuse, or illegal activity;
- misrepresent identity, qualifications, company information, work history, availability, or payment status;
- probe, disrupt, reverse engineer, bypass, or interfere with platform security or access controls except where expressly permitted by applicable law;
- upload malicious code, misuse other users' data, or attempt unauthorized access;
- manipulate reviews, verification signals, matching signals, transactions, disputes, or platform records.
6. Off-platform circumvention
When a relationship, opportunity, or engagement originates through Zorvenaq, users must not intentionally use platform communications to bypass Zorvenaq's contracting, payment, safety, or dispute workflows where those workflows apply. This includes sharing contact or payment details for the primary purpose of moving an active platform-originated transaction outside Zorvenaq in violation of these Terms or applicable contract rules.
Zorvenaq may use automated and manual anti-abuse controls to detect prohibited contact-sharing or circumvention signals. Legitimate disclosures required for an authorized contract, compliance process, or approved collaboration workflow are not prohibited merely because they contain contact information.
7. Contracts, milestones, fees, and payments
Contract terms, scope, milestones, rates, fees, funding conditions, release conditions, and withdrawal eligibility must be reviewed before acceptance. Zorvenaq may use an internal USD Wallet with enabled manual deposit and withdrawal methods. External transfer networks or providers may impose their own availability, identity, address, or network-fee requirements.
Users must not treat a payment as complete merely because it was initiated. Platform records, processor confirmation, funding state, and transfer or payout evidence may determine whether funds are considered successfully received or released.
8. Disputes and platform review
Zorvenaq may provide dispute workflows to collect evidence, pause eligible payment actions, support communication, and record resolution steps. Users must provide accurate information and cooperate in good faith. Platform dispute tools do not replace rights that cannot lawfully be waived and do not guarantee a particular outcome.
9. User content and intellectual property
You retain ownership of content you submit, subject to rights granted to Zorvenaq that are reasonably necessary to host, process, display, secure, transmit, and operate that content as part of the service. You must have the rights necessary to submit content and must not infringe another party's intellectual-property, privacy, confidentiality, or contractual rights.
Ownership of deliverables created under a client-expert engagement should be defined in the applicable contract. Zorvenaq's trademarks, product design, software, and platform materials remain owned by Zorvenaq or its licensors.
10. Verification and platform signals
Verification badges, scores, recommendations, rankings, availability indicators, reviews, and matching signals are decision-support tools and may be based on submitted information, platform activity, evaluations, or other evidence. They are not warranties of future performance, identity, suitability, or outcome.
11. Suspension and termination
Zorvenaq may restrict, suspend, or terminate access when reasonably necessary to investigate security issues, prevent harm, enforce these Terms, comply with law, address non-payment, respond to abuse, or protect users and the platform. Where appropriate, users may be given notice or an opportunity to resolve the issue.
12. Service disclaimers
To the maximum extent permitted by law, Zorvenaq is provided on an "as available" and "as is" basis. We do not guarantee uninterrupted availability, a specific hiring result, continuous access to every feature, or that every user-provided statement is accurate. Nothing on the platform constitutes legal, tax, accounting, employment, immigration, or investment advice.
13. Limitation of liability
To the maximum extent permitted by applicable law, Zorvenaq will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, goodwill, data, or business opportunity arising from use of the service. Any additional liability limitation, cap, governing law, jurisdiction, or mandatory consumer-rights language should be finalized for the legal entity and launch jurisdictions before public launch.
14. Changes to these Terms
We may update these Terms to reflect changes to the platform, our business model, legal requirements, or security practices. Material changes will be reflected by a revised effective date and, where appropriate, additional notice.
